L&M Energy Limited (LME)
We advised LME on the acquisition of L&M Coal Seam Gas Limited and subsequent capital raising through a private placement and a share purchase scheme. We successfully and efficiently completed the acquisition and subsequent capital raising transactions.
This acquisition was a landmark for the growth of New Zealand’s emerging coal seam gas sector. It resulted in the largest coal seam gas company in New Zealand and raised sufficient funding to finance LME’s expected exploration costs. LME were able to immediately benefit from increased gas reserves.
Michael Hill International Limited (MHI)
We acted on the recent successful partial takeover by Hill family interests. The successful completion of the partial takeover under the Takeovers Code benefited both the shareholders and ownership structure of MHI.
MHI has great brand reputation in New Zealand and internationally. It was very important to them to provide shareholders with an opportunity to exit part of their investment for a premium price. The result benefited MHI and made for a more efficient ownership structure.
Oceania Capital Partners Limited
We acted on the sale of the Signature Security Group in 2011. The Australasian business was sold by ASX-listed Oceania Capital Partners Limited (previously Allco Equity Partners Limited) to ADT for AUD$171 million.
Unison Networks Limited
We advised Unison Networks Limited, one of New Zealand’s largest electricity network companies, on the sale of its wind farm interest to Meridian Energy Limited. This involved drafting and negotiating the asset sale agreement and the terms of an ongoing alliance arrangement for the design and build of wind farm reticulation assets thus successfully secured a favourable position for any future Meridian wind farm development in the Unison network region.
Integral Technology Group Limited
We acted for Integral Technology Group Limited in its acquisition of Axon Computers, and then for the shareholders of Integral Technology Group Limited in the sale of that company to Datacraft New Zealand Limited (a subsidiary of Dimension Data). Integral had consolidated a number of IT businesses (including Axon Computer Systems Limited) over recent years to create New Zealand's largest locally-owned, independent, privately-held IT services operation. That IT business has now been sold to Datacraft, a subsidiary of the London Stock Exchange listed Dimension Data.
